These Terms of Use (“Terms”) govern your access to and use of the !DealMart platform, including any mobile applications, websites, content, products, and services (collectively, the “Services”). By accessing or using the Services, you confirm that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. THE SERVICES

1.1 Marketplace Platform

!DealMart provides an online marketplace to enable users (“Users”) to discover, order, and/or arrange pickup or delivery of food, groceries, and related products (“Merchant Offerings”) from independent third-party businesses (“Merchants”). The Services also include the facilitation of delivery through independent contract drivers (“Gig Drivers” or “Drivers”).

• No Employment Relationship: Merchants, Gig Drivers, and any other service providers using the !DealMart platform operate independently. !DealMart does not control or manage Merchants’ or Drivers’ day-to-day operations.
• No Food Preparation or Fulfillment: !DealMart itself does not prepare, package, or manufacture any food or grocery products, nor does it provide logistics or delivery services. Our role is strictly limited to providing the technology platform.

1.2 Eligibility

You may use the Services only if you are at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a legally binding contract under applicable law.

1.3 Territory

These Terms apply to use of the Services within Ontario, Canada only. If you access or use the Services from outside Ontario, you do so at your own risk and are responsible for compliance with any applicable laws in your jurisdiction.

2. USER ACCOUNTS

2.1 Account Registration

To access certain features of the Services, you may need to register for a !DealMart account. You agree to provide accurate, current, and complete information and to keep it updated at all times.

2.2 Account Security

You are responsible for all activity on your account. You must maintain the confidentiality and security of your login credentials and may not share them with any third party.

2.3 Unauthorized Use

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. !DealMart shall not be liable for any losses arising from unauthorized use of your account.

3. RELATIONSHIP WITH MERCHANTS AND DRIVERS

3.1 Third-Party Merchants

All Merchant Offerings available on the Services are provided by independent, third-party Merchants, not by !DealMart. Merchants are responsible for the preparation, quality, safety, allergen warnings, and compliance of their products with all applicable laws and regulations.

3.2 Independent Gig Drivers

Where delivery is offered, it may be carried out by Drivers who are independent contractors. Drivers are not employees or agents of !DealMart. We do not control, and are not responsible for, the actions or omissions of Drivers, including any vehicle-related incidents, accidents, property damage, or personal injuries.

3.3 No Warranty on Merchant Offerings or Deliveries

!DealMart makes no representations or warranties regarding the Merchant Offerings or the delivery services provided by Drivers, including their suitability, safety, or quality. All issues or complaints related to the Merchant Offerings or deliveries should be directed to the applicable Merchant or Driver.

4. PAYMENT, FEES & CANCELLATIONS

4.1 Pricing and Fees

Merchant Pricing: Prices for Merchant Offerings may be set by the Merchant or reflected on the platform with promotions.

Delivery or Service Fees: Additional fees (including delivery, service, or savings fees) may be charged. We will display applicable fees before you place your order. By placing an order, you consent to all applicable charges.

4.2 Payment Processing

Payment may be processed by a third-party payment processor. By providing payment information, you authorize !DealMart (or its third-party payment processor) to charge your designated payment method for the total purchase amount, including all applicable fees and taxes.

4.3 Refunds & Cancellations

Merchant Refund Policies: Refunds or replacements for unsatisfactory or incorrect orders may be governed by the individual Merchant’s policy.

Delivery-Related Refunds: Issues related to late deliveries or missing items should be addressed with the Driver or Merchant. !DealMart may, at its sole discretion, assist in dispute resolution but does not guarantee refunds.

5. USER CONDUCT

5.1 Prohibited Activities

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law.
• Impersonate any person or entity or falsely represent your affiliation with a person or entity.
• Interfere with or disrupt the proper operation of the Services, including by distributing viruses or malicious code.
• Use any automated means to scrape, crawl, or otherwise extract data from the Services without our express written permission.

5.2 Account Suspension or Termination

!DealMart may, at its discretion, suspend or terminate your access to the Services if it believes you have violated these Terms or engaged in fraudulent or illegal activity.

6. INTELLECTUAL PROPERTY

All content, trademarks, logos, and materials on the Services are owned by or licensed to !DealMart and are protected by applicable intellectual property laws. You may not use, reproduce, or distribute such content without our prior written consent.

7. DISCLAIMERS & LIMITATION OF LIABILITY

The Services are provided “as is” and “as available” without warranties of any kind. !DealMart disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. To the maximum extent permitted by law, !DealMart shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

8. INDEMNIFICATION

You agree to indemnify and hold harmless !DealMart, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Services or violation of these Terms.

9. GOVERNING LAW & DISPUTE RESOLUTION

These Terms and any disputes related thereto shall be governed by the laws of Ontario, Canada, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario for any disputes arising from or relating to these Terms or the Services.

10. CHANGES TO TERMS

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Services or sending an email. Continued use of the Services after such changes constitutes acceptance of the new Terms.

11. THIRD-PARTY LINKS & SERVICES

The Services may contain links to third-party websites or services. We do not control or endorse such third parties and are not responsible for their content, policies, or practices.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect and use your personal information.
